Uruguay for founders: a business base with room to live

A place for your family can also become a base for your business. Uruguay offers an established technology sector and meaningful tax incentives for qualifying operations. The useful question is how they fit the company you actually want to run.

Choosing a country for your family also raises questions about the business behind your life. Where will you make decisions? Where will the team work? What does the company need from its bank?

Uruguay deserves consideration because it has both an established technology industry and a legal framework for international business. Certain operations can qualify for a full corporate income-tax exemption. The value lies in understanding which route suits your activity and building the company properly from the beginning.

A technology sector with international reach

Uruguay’s appeal extends beyond the tax treatment. Uruguay XXI’s 2026 sector report describes an export-oriented technology industry, skilled professionals, digital infrastructure and a mix of local and international companies. For a founder building a genuine operation, that means an existing business community to work with.

The report brings together the sector’s talent, export markets and investment activity. It is a useful starting point for judging whether Uruguay fits your company’s next stage. Uruguay XXI: technology sector report 2026 (Spanish, PDF).

Where the 0% corporate-tax opportunity comes from

Uruguay’s free zones are authorised places for business activity. A company needs the relevant user authorisation and an approved operating plan; a registered address alone does not establish eligibility. Free-zone law, Article 16 (Spanish).

For qualifying users, the law provides a broad exemption from national taxes on activities carried out within the authorised regime. This includes 0% IRAE, Uruguay’s corporate income tax, on qualifying approved business profits. The exemption follows the activity and the authorisation. Article 19 (Spanish) and Decree 309/018, Article 54 (Spanish).

Living in Uruguay and running a qualifying business can fit together. The company’s exemption comes from meeting the business rules, rather than from the founder’s residence permit. Office arrangements, staffing, the permitted activity and ongoing administration belong in the assessment from the outset.

For intellectual-property income, the rules also look at research and development and the qualifying expenditure behind the asset. Moving ownership of an existing asset does not, by itself, establish a full exemption. Free-zone law, Article 20 (Spanish).

Software has a separate route

Qualifying software activity can also receive an IRAE exemption outside a free zone. The rules distinguish income from registered software assets from qualifying development and related services.

For the service route, the regulation requires appropriately qualified, adequately paid full-time personnel and more than 50% of direct service costs to be incurred in Uruguay. For registered software assets, the exempt share follows a qualifying development-expenditure calculation. A business’s actual work and legal form matter. Decree 150/007, Article 161-BIS (Spanish).

Declarations, records and the required information on supporting documents are part of obtaining the benefit. Your accountant should assess these requirements before the company starts invoicing. Article 161-TER (Spanish).

Consider the company and your personal position together

A corporate exemption does not settle the founder’s personal tax position. Salary, distributions and other income need their own analysis. DGI’s guidance makes clear that employment income earned in a free zone can be subject to personal income tax, with specific options for foreign workers. DGI: employment income in free zones (Spanish).

There are company-level exceptions too. Social-security contributions and the domestic minimum top-up tax are excluded from the general free-zone exemption. Free-zone law, Article 20 (Spanish).

The minimum-tax framework is relevant to large multinational groups. Its general revenue threshold is EUR 750 million in at least two of the previous four financial years, and the calculation uses a 15% minimum. A group within its scope needs a specific assessment of the rules, exclusions and available relief, including when a free-zone company is involved. Tax Code, Title 21, particularly Articles 3 and 15 (Spanish).

For your own comparison, look at the annual cost of operating: premises, the local team, professional support and administration alongside the tax treatment. That gives you a more useful picture of the business you would be building.

Move the operation with a clear purpose

There is a difference between moving as a shareholder, continuing to manage an overseas company from Uruguay and establishing a genuine local operation. Map where decisions are made, who negotiates and signs contracts, where the team works and where the intellectual property is developed and owned.

Uruguay’s IRAE rules, Title 4, Article 4 (Spanish) address permanent establishments, including fixed business locations, places of management and specified activities. Argentina has its own rules in Income Tax Law, Article 22 (Spanish). An executive’s move calls for a company-level assessment alongside the personal one. It does not automatically transfer the company’s residence, and personal travel days alone do not settle the issue.

Local counsel and the company’s existing advisers should assess whether the next step is a new subsidiary, a branch, a transfer of particular functions or another permitted arrangement. Contracts, intellectual property, employment, transfer pricing and departure-country consequences may need attention before anything moves. Incorporating a S.A.S. does not itself establish eligibility for a tax exemption. For a family-owned group, the resulting plan should also fit the family’s residence and wealth arrangements.

Build the banking arrangements alongside the company

A company needs banking arrangements suited to its customers, currencies and everyday transactions. Uruguay’s formal procedures give that conversation a clear starting point. The official business-account guidance lists company registrations, incorporation documents, representatives and evidence of income; it also identifies additional preparation for a newly operating company. Government guide: business-account requirements (Spanish).

BCU’s due-diligence rules also address ownership, beneficial owners and information about the funds involved. This is part of establishing a business that can explain its activity clearly to a financial institution. Banco Central del Uruguay: financial-system rules (Spanish, PDF).
